These terms of service, together with any\ndocuments and additional terms they incorporate by reference (collectively,\nthese \u201cTerms\u201d), are entered into between the Paralism Foundation (the \u201cwe,\u201d\n\u201cus,\u201d and \u201cour\u201d) and you or the company or other legal entity that you\nrepresent (\u201cyou\u201d or \u201cyour\u201d).<\/p>\n\n\n\n
Please read these Terms carefully as they\ngovern your use of our site located at https:\/\/www.paralism.com\/ and all\nassociated sites (the \u201cSite\u201d) and our Services (defined below) and describe\nyour rights and obligations and our disclaimers and limitations of legal\nliability. By accessing or using any part of the Site or the Services, you\nagree to become bound by the terms and conditions of these Terms.<\/p>\n\n\n\n\n\n\n\n
If you use the Services on behalf of a\ncompany, organization (including a decentralized autonomous organization or\n\u201cDAO\u201d) or other entity then \u201cyou\u201d includes you and that entity, and you\nrepresent and warrant that (a) you are an authorized representative of the\nentity with the authority to bind the entity to these Terms, and (b) you agree\nto these Terms on the entity\u2019s behalf.<\/p>\n\n\n\n
If you do not agree to these Terms or do\nnot have authority to bind your organization on whose behalf you are using the\nServices to these Terms, you must not access or use our Site or the Services.\nPlease carefully review Disclaimers in their entirety before accessing the Site,\nour Services, or using any software developed by the Paralism Foundation.\nPlease refer to our privacy policy for information about how we collect, use,\nshare and otherwise process information about you. In addition, you agree to\ncomply with the Paralism Community Code of Conduct with respect to any\ninteractions on or arranged through the Site.<\/p>\n\n\n\n
We reserve the right, in our sole\ndiscretion, to modify these Terms from time to time. If we make changes, we\nwill provide you with notice of such changes using commercially reasonable\nmeans, such as by sending an email, providing a notice through the Site or our\nServices or updating the date at the top of these Terms. Unless we say\notherwise in our notice, any modifications are effective immediately, and your\ncontinued use of the Site or our Services will confirm your acceptance of the\nchanges. If you do not agree to the amended Terms, you must stop using our\nServices.<\/p>\n\n\n\n
The Site enables users to access open\nsource documentation and related services, including (without limitation)\nresources, data and computation services, information about the decentralized\nnetwork of node operators that are selling usage of specific data via data\nfeeds, APIs and various off-chain payment capabilities directly to smart\ncontracts integrating Paralism Network, and resources for the Paralism Network\ncommunity (collectively such services, information, APIs, and resources related\nto the Paralism Network are referred to as the \u201cServices\u201d). Some Services\noffered by us or other participants in the Paralism Network require payment or\notherwise involve the use of an underlying blockchain or other decentralized or\npermissioned infrastructure (\u201cDistributed Ledger Technology\u201d), which may\nrequire that you pay a fee, such as \u201cgas\u201d charges on the Ethereum network or\nother applicable blockchain network, for the computational resources required\nto perform a transaction on the particular Distributed Ledger Technology (such\npayments and fees, \u201cCharges\u201d). You acknowledge and agree that the Paralism\nFoundation has no control over any Distributed Ledger Technology transactions,\nthe method of payment of any Charges, if applicable, or any actual payments of\nCharges, if applicable. Accordingly, you must ensure that you have a sufficient\nbalance of the applicable Distributed Ledger Technology network tokens stored\nat your Distributed Ledger Technology-compatible wallet address (\u201cDistributed\nLedger Technology Address\u201d) to complete any transaction on the Paralism Network\nor the Distributed Ledger Technology before initiating such a transaction.<\/p>\n\n\n\n
To use the Site or Service, you must be\nable to form a legally binding contract online either on behalf of the entity\non whose behalf that you are using the Site or Services, or as an individual if\nyou are using the Site or the Services in your personal capacity. Accordingly,\nyou represent that you are at least 18 years old (or the age of majority where\nyou reside, whichever is older), can form a legally binding contract online,\nand have the full, right, power and authority to enter into and to comply with the\nobligations under these Terms. Additionally, you represent and warrant that you\nare not a citizen or resident of a state, country, territory or other\njurisdiction where your use of the Site or the Services would be illegal or\notherwise violate any domestic or foreign law, rule, statute, regulation,\nby-law, order, protocol, code, decree, or other directive, requirement or\nguideline, published or in force which applies to or is otherwise intended to\ngovern or regulate any person, property, transaction, activity, event or other\nmatter, including any rule, order, judgment, directive or other requirement or\nguideline issued by any domestic or foreign federal, provincial or state,\nmunicipal, local or other governmental, regulatory, judicial or administrative\nauthority having jurisdiction over the Paralism Foundation, you, the Site or\nthe Services, or as otherwise duly enacted, enforceable by law, the common law\nor equity (\u201cApplicable Law\u201d).<\/p>\n\n\n\n
As a condition to accessing or using the\nServices or the Site, you represent, warrant and agree that you: (i) will only\nuse the Services and the Site for lawful purposes and in accordance with these\nTerms; (ii) will ensure that all information that you provide on the Site is\ncurrent, complete, and accurate; (iii) will maintain the security and\nconfidentiality of access to your Distributed Ledger Technology Address; (iv)\nwill identify and assess the accuracy, availability and quality of data that\nyou choose to consume via the Paralism Network; and (v) agree (A) that no\nProtected Party (defined below) will be responsible for any loss or damage\nincurred as the result of any interactions you have with other users of the Site,\nServices or the Paralism Network, including the loss of any amount of the\nnative utility token of the Paralism Network (\u201cPara\u201d), any other tokens or\nother unit of value; and (B) if there is a dispute between you and any other\nsite or other user, no Protected Party will be under any obligation to become\ninvolved.<\/p>\n\n\n\n
As a condition to accessing or using the Site\nor the Services, you represent, warrant and agree that you will not: (i)\nviolate any Applicable Law, including, without limitation, any relevant and\napplicable anti-money laundering and anti-terrorist financing laws and any\nrelevant and applicable privacy and data collection laws, in each case as may\nbe amended; (ii) export, reexport, or transfer, directly or indirectly, any Paralism\nFoundation technology or Paralism Network data in violation of applicable export\nlaws or regulations; (iii) infringe on or misappropriate any contract,\nintellectual property or other third-party right, or commit a tort while using\nthe Site or the Services; (iv) misrepresent the truthfulness, sourcing or\nreliability of any content on the Site or through the Services; (v) use the Site\nor Services in any manner that could interfere with, disrupt, negatively\naffect, or inhibit other users from fully enjoying the Site, Services or the Paralism\nNetwork, or that could damage, disable, overburden, or impair the functioning\nof the Site, Services or the Paralism Network in any manner; (vi) attempt to\ncircumvent any content filtering techniques or security measures that the Paralism\nFoundation employs on the Site or the Services, or attempt to access any\nservice or area of the Site or the Services that you are not authorized to\naccess; (vii) use any robot, spider, crawler, scraper, or other automated means\nor interface not provided by us, to access the Site or Services or to extract\ndata; (viii) introduce any malware, virus, Trojan horse, worm, logic bomb,\ndrop-dead device, backdoor, shutdown mechanism or other harmful material into\nthe Site or the Services; (ix) post content or communications on the Site or\nthrough the Services (including User Content) that are, in our sole discretion,\nlibelous, defamatory, profane, obscene, pornographic, sexually explicit,\nindecent, lewd, vulgar, suggestive, harassing, hateful, threatening, offensive,\ndiscriminatory, bigoted, abusive, inflammatory, fraudulent, deceptive or\notherwise objectionable or in violation of the Paralism Community Code of\nConduct; (x) post content on the Site or through the Services containing\nunsolicited promotions, political campaigning, or commercial messages or any\nchain messages or user content designed to deceive or trick the user of the\nService; or (xi) encourage or induce any third party to engage in any of the\nactivities prohibited under these Terms.<\/p>\n\n\n\n
You represent and warrant that you: (i)\nhave the necessary technical expertise and ability to review and evaluate the\nsecurity, integrity and operation of any of Para Tokens that you decide to\nacquire, sell or use; (ii) have the knowledge, experience, understanding,\nprofessional advice and information to make your own evaluation of the merits,\nrisks and applicable compliance requirements under Applicable Law of any Para\nToken; and (iii) know, understand and accept the risks associated with your use\nof the Paralism Network, your Distributed Ledger Technology Address, the\nDistributed Ledger Technology, Para Tokens and other network tokens, including\nthe risk of mining attacks and the risks identified in Section \u201cRISK FACTORS\u201d\nbelow.<\/p>\n\n\n\n
Excluding any open source software or\nthird-party software that the Site or the Services incorporates, as between you\nand Paralism Foundation, the Paralism Foundation owns the Site and the\nServices, including all technology, content and other materials used, displayed\nor provided on the Site (including all intellectual property rights), and\nhereby grants you a limited, revocable, non-transferable, license to access and\nuse those portions of the Site and the Services that are proprietary to the Paralism\nFoundation in accordance with their intended uses and using their designated\npublic interfaces.<\/p>\n\n\n\n
Certain of the Services are governed by the\nmost recent version of the open-source license commonly known as the MIT\nLicense, a copy of which (as it applies to the Site and the Services) can be\nfound at: https:\/\/github.com\/paralism (as of the date these Terms were last\nupdated) and any other applicable licensing terms for the Site and the Services\nin these Terms (collectively, the \u201cFoundation License\u201d). You acknowledge that\nthe Site, the Services or the Paralism Network may use, incorporate or link to\ncertain open-source components and that your use of the Site, Services and\/or\nthe Paralism Network is subject to, and you will comply with any, applicable\nopen-source licenses that govern any such open-source components (collectively,\n\u201cOpen-Source Licenses\u201d). Without limiting the generality of the foregoing, you\nmay not resell, lease, lend, share, distribute or otherwise permit any third\nparty to use the Site or the Services or otherwise use the Site or the Services\nin a manner that violates the Foundation License or any other Open-Source\nLicenses.<\/p>\n\n\n\n
Any of the Paralism Foundation\u2019s product or\nservice names, logos, and other marks used in the Site or as a part of the\nServices, including the Paralism Foundation’s name and logo are trademarks\nowned by the Paralism Foundation or its applicable licensors. You may generally\nuse the Paralism Foundation\u2019s name and logo to refer to the Paralism Foundation\u2019s\nmission and activities provided that it does not in any way suggest or imply\nsponsorship or approval by the Paralism Foundation. You may also indicate the relationship\nof your products and services to the Paralism Foundation\u2019s mission and\nactivities by using an accurate descriptive term in connection with your\nproduct or service. You may not use the Paralism Foundation\u2019s name and logo in\na manner that may cause confusion with others or result in genericization. The Paralism\nFoundation reserves its right to prohibit the use of the Paralism Foundation\u2019s\nmarks by anyone that we believe misuses our trademarks. Except as provided in\nthe foregoing, you may not copy, imitate or use the Paralism Foundation\u2019s marks\nwithout the Paralism Foundation\u2019s (or the applicable licensor\u2019s) prior written\nconsent.<\/p>\n\n\n\n
The Paralism Foundation will be free to\nuse, disclose, reproduce, license, and otherwise distribute and exploit any\nsuggestions, comments, or other feedback provided by you to the Paralism\nFoundation with respect to the Site or Services (\u201cFeedback\u201d) provided to it as\nit sees fit, entirely without obligation or restriction of any kind, on account\nof intellectual property rights or otherwise.<\/p>\n\n\n\n
The Site provides access to certain\nthird-party Sites (\u201cExternal Sites\u201d) that provide third-party services,\nincluding services provided by its subsidiaries or affiliates (\u201cThird Party\nServices\u201d) solely as a convenience to you and not based on any affiliation with\nthe External Sites. The content of such External Sites is developed and\nprovided by others. You should contact the site administrator and reference the\nterms of use associated with such External Sites if you have any questions or\nconcerns regarding such Third-Party Services. We make no warranties or\nrepresentations, express or implied, about such Third-Party Services. You\nacknowledge sole responsibility for and assume all risk arising from your use\nof any Third-Party Services.<\/p>\n\n\n\n
The Paralism Network is intended to be\ndecentralized and self-operating, with or without any Services provided by the Paralism\nFoundation. Accordingly, we may, at our sole discretion, from time to time and\nwith or without prior notice to you, modify, suspend or disable, temporarily or\npermanently, the Services offered by the Paralism Foundation, in whole or in\npart, for any reason whatsoever, including, but not limited to, as a result of\na security incident.<\/p>\n\n\n\n
We will not be liable for any losses\nsuffered by you resulting from any modification to any Services or from any\nsuspension or termination, for any reason, of your access to all or any portion\nof the Site or the Services.<\/p>\n\n\n\n
All of these terms will survive any\ntermination of your access to the Site or the Services, regardless of the\nreasons for its expiration or termination, in addition to any other provision\nwhich by law or by its nature should survive.<\/p>\n\n\n\n
You consent to receive all communications,\nagreements, documents, receipts, notices, and disclosures electronically\n(collectively, our \u201cCommunications\u201d) that we provide in connection with these\nTerms or any Services. You agree that we may provide our Communications to you\nby posting them on the Site or through the Services or by emailing them to you\nat the email address you provide in connection with using the Services. You\nshould maintain copies of our Communications by printing a paper copy or saving\nan electronic copy. You may also contact our support team to request additional\nelectronic copies of our Communications by filing a support request at support@paralism.org<\/strong><\/p>\n\n\n\n You will defend, indemnify, and hold\nharmless the Paralism Foundation, our members, directors, officers, employees,\nattorneys, agents, representatives, suppliers, licensors and contractors\n(collectively, Protected Parties\u201d) from any claim, demand, lawsuit, action,\nproceeding, investigation, liability, damage, loss, cost or expense, including\nwithout limitation reasonable attorneys\u2019 fees, arising out of or relating to\nyour use of, or conduct in connection with, the Site, Services, the Paralism\nNetwork or Para Tokens, Distributed Ledger Technology assets associated with\nyour Distributed Ledger Technology Address, any other digital assets, any\nFeedback or User Content; your violation of these Terms; your violation of\nApplicable Law or regulations; any claims made by or against the Protected\nParties by other members of the organization or entity on whose behalf you may\nbe using the Site or Services; or your infringement or misappropriation of the\nrights of any other person or entity. If you are obligated to indemnify any\nProtected Party, the Paralism Foundation (or, at its discretion, the applicable\nProtected Party) will have the right, in its sole discretion, to control any\naction or proceeding and to determine whether the Paralism Foundation wishes to\nsettle, and if so, on what terms.<\/p>\n\n\n\n The Paralism Foundation seeks to encourage\nthe continued growth and success of the Paralism Network as a public good. You\nunderstand that no financial regulatory authority has reviewed or approved the\nuse of the open-source software utilized by the Paralism Network. The Site, the\nServices, and the Paralism open-source software do not constitute advice or a\nrecommendation concerning any commodity, security or other asset. The Paralism\nFoundation is not acting as an investment adviser or commodity trading adviser\nto any person.<\/p>\n\n\n\n To the maximum extent permitted under\nApplicable Law, the Site and the Services (and any of their content or\nfunctionality) provided by or on behalf of us are provided on an \u201cAS IS\u201d and\n\u201cAS AVAILABLE\u201d basis, and we expressly disclaim, and you hereby waive, any\nrepresentations, conditions or warranties of any kind, whether express or\nimplied, legal, statutory or otherwise, or arising from statute, otherwise in\nlaw, course of dealing, or usage of trade, including, without limitation, the\nimplied or legal warranties and conditions of merchantability, merchantable\nquality, quality or fitness for a particular purpose, title, security,\navailability, reliability, accuracy, quiet enjoyment and non-infringement of\nthird party rights. Without limiting the foregoing, we do not represent or\nwarrant that the Site or the Services (including any related data) will be\nuninterrupted, available at any particular time or error-free. Further, we do\nnot warrant that errors in the Site or the Service are correctable or will be\ncorrected.<\/p>\n\n\n\n You acknowledge that your data on the Site\nor through the Services may become irretrievably lost or corrupted or\ntemporarily unavailable due to a variety of causes, and agree that, to the\nmaximum extent permitted under Applicable Law, we will not be liable for any\nloss or damage caused by denial-of-service attacks, software failures, viruses\nor other technologically harmful materials (including those which may infect\nyour computer equipment), Internet outages, force majeure events or other\ndisasters, scheduled or unscheduled maintenance, or other causes either within\nor outside our control.<\/p>\n\n\n\n The disclaimer of implied warranties\ncontained in these Terms may not apply if and to the extent such warranties\ncannot be excluded or limited under the Applicable Law of the jurisdiction in\nwhich you reside.<\/p>\n\n\n\n In no event will the Paralism Foundation,\ntogether with any Protected Party, be liable for any incidental, indirect,\nspecial, punitive, exemplary, consequential or similar damages or liabilities\nwhatsoever (including, without limitation, damages for loss of data,\ninformation, revenue, goodwill, profits or other business or financial benefit)\narising out of or in connection with the Site, the Services and the Paralism\nNetwork (and any of their content and functionality), any execution or\nsettlement of a transaction, any performance or non-performance of the\nServices, your Distributed Ledger Technology assets, other digital assets, Para\nTokens or any other product, service or other item provided by or on behalf of\na Protected Party, whether under contract, tort (including negligence), civil\nliability, statute, strict liability, breach of warranties, or under any other\ntheory of liability, and whether or not any Protected Party has been advised\nof, knew of or should have known of the possibility of such damages and\nnotwithstanding any failure of the essential purpose of these Terms or any\nlimited remedy nor is the Paralism Foundation in any way responsible for the\nexecution or settlement of transactions between users of Paralism open-source\nsoftware or the Paralism Network.<\/p>\n\n\n\n In no event will the Protected Parties’\naggregate liability arising out of or in connection with the Site, the Services\nand the Paralism Network (and any of their content and functionality), any\nperformance or non-performance of the Services, your Distributed Ledger\nTechnology assets, other digital assets, Para Tokens or any other product,\nservice or other item provided by or on behalf of a Protected Party, whether\nunder contract, tort (including negligence), civil liability, statute, strict\nliability or other theory of liability exceed the amount of fees paid by you to\nus under these Terms in the twelve (12) month period immediately preceding the\nevent giving rise to the claim for liability.<\/p>\n\n\n\n To the extent permitted by applicable law,\nin consideration for being allowed to use the Site, the Services and\/or the Paralism\nNetwork, you and all other members of the entity or organization on whose\nbehalf you are using the Site or Services and\/or the Paralism Network hereby\nrelease and forever discharge the Paralism Foundation and all Protected Parties\nfrom, and hereby waive and relinquish, each and every past, present and future\ndispute, claim, controversy, demand, right, obligation, liability, action and\ncause of action of every kind and nature (including personal injuries, death,\nand property damage), that has arisen or arises directly or indirectly out of,\nor that relates directly or indirectly to, the Site, the Services and\/or the Paralism\nNetwork (including any interactions with, or act or omission of, other Website\nor Paralism Network users or any third-party services). YOU HEREBY WAIVE ANY\nAPPLICABLE PROVISION IN LAW OR REGULATION IN CONNECTION WITH THE FOREGOING,\nWHICH STATES IN SUBSTANCE: \u201cA GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH\nTHE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME\nOF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY\nAFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.<\/p>\n\n\n\n Please read the following section carefully\nbecause it requires you to arbitrate certain disputes and claims with the Paralism\nFoundation and limits the manner in which you can seek relief from us, unless\nyou opt out of arbitration by following the instructions set forth below. In\naddition, arbitration precludes you from suing in court or having a jury trial.<\/p>\n\n\n\n You and the Paralism Foundation agree that\nany dispute arising out of or related to these Terms or our Services is\npersonal to you and the Paralism Foundation and that any dispute will be\nresolved solely through individual action, and will not be brought as a class\narbitration, class action or any other type of representative proceeding.<\/p>\n\n\n\n Except for small claims disputes in which\nyou or the Paralism Foundation seeks to bring an individual action in small\nclaims court located in the county or other applicable jurisdiction where you\nreside or disputes in which you or the Paralism Foundation seeks injunctive or\nother equitable relief for the alleged unlawful use of intellectual property,\nyou and the Paralism Foundation waive your rights to a jury trial and to have\nany dispute arising out of or related to these Terms or our Services resolved\nin court. Instead, for any dispute or claim that you have against the Paralism\nFoundation or relating in any way to the Services, you agree to first contact\nthe Paralism Foundation and attempt to resolve the claim informally by sending\na written notice of your claim (\u201cNotice\u201d) to the Paralism Foundation by email\nat support@paralism.org<\/strong>.\nThe Notice must include your name, residence address, email address, and\ntelephone number, describe the nature and basis of the claim and set forth the\nspecific relief sought. Our notice to you will be similar in form to that\ndescribed above. <\/p>\n\n\n\n Any claim arising out of or related to\nthese Terms or our Services must be filed within one year after such claim\narose; otherwise, the claim is permanently barred, which means that you and the\nParalism Foundation will not have the right to assert the claim.<\/p>\n\n\n\n You acknowledge the following serious risks\nto any use of the Site or the Services or the Para Token and expressly agree to\nnot hold any Protected Parties liable should any of the following risks occur:<\/p>\n\n\n\n Risk of Regulatory Actions in One or More\nJurisdictions: The Site or the Services or the Para Token could be impacted by\none or more regulatory inquiries or regulatory actions, which could impede or\nlimit the ability of the Paralism Foundation to continue to develop the Site or\nServices, or which could impede or limit your ability to use the Site or\nServices or the Para Token.<\/p>\n\n\n\n Risk of Insufficient Interest in the Paralism\nNetwork or Distributed Applications: It is possible that the Paralism Network\nwill not be used by a large number of external businesses, individuals, and\nother organizations and that there will be limited public interest in the\ncreation and development of distributed applications. Such a lack of interest\ncould impact the development of the Paralism Network and potential uses of Para\nTokens. The Paralism Foundation cannot predict the success of its own\ndevelopment efforts or the efforts of other third parties.<\/p>\n\n\n\n Risk that the Site and Services, as\nDeveloped, Will Not Meet the Expectations of User: You recognize that the Site,\nServices and the Paralism Network are under development and may undergo\nsignificant changes over time. You acknowledge that any expectations regarding\nthe form and functionality of the Paralism Network held by you may not be met\nfor any number of reasons including a change in the design and implementation\nplans, specifications and execution of the implementation of the Site, Services\nor the Paralism Network.<\/p>\n\n\n\n Risk of Weaknesses or Exploitable\nBreakthroughs in the Field of Cryptography: Cryptography is an art, not a\nscience. And the state of the art can advance over time. Advances in code\ncracking, or technical advances such as the development of quantum computers,\ncould present risks to cryptocurrencies and the Site, Services and the Paralism\nNetwork which could result in the theft or loss of Para Tokens. To the extent\nwithin its control and otherwise possible, the Paralism Foundation intends to\nupdate the protocol underlying the Services and the Paralism Network to account\nfor any advances in cryptography and to incorporate additional security\nmeasures, but it cannot predict the future of cryptography or guarantee that\nany security updates will be made in a timely or successful manner.<\/p>\n\n\n\n Risk of Rapid Adoption and Insufficiency of\nComputational Application Processing Power of the Services and the Paralism\nNetwork: If the Services and\/or the Paralism Network are rapidly adopted, the\ndemand for transaction processing and distributed application computations\ncould rise dramatically and at a pace that exceeds the rate with which Paralism\nservices can be provided. Under such a scenario, the Services and Paralism\nNetwork could become destabilized, due to the increased cost of running\ndistributed applications. In turn, this could dampen interest in the Services,\nthe Paralism Network and Para Tokens. Insufficiency of computational resources\nand an associated rise in the price of Para Tokens could result in businesses\nbeing unable to acquire scarce computational resources to run their distributed\napplications. This could result in lost revenues and disruption or halting of\nbusiness operations.<\/p>\n\n\n\n Risks Associated with New and Evolving\nLaws: The Paralism Network, and by extension the Site and Services, may be\nsubject to a variety of international laws and regulations, including those\nwith respect to financial or securities regulations, consumer privacy, data\nprotection, consumer protection, content regulation, network neutrality, cyber\nsecurity, data protection, intellectual property (including copyright, patent,\ntrademark and trade secret laws), defamation, and others. Such laws and\nregulations, and the interpretation or application of these laws and\nregulations, could change. In addition, new laws or regulations affecting the Paralism\nNetwork could be enacted. As the Site, Services and Paralism Network evolve, we\nmay be subject to new laws, and the application of existing laws to us might\nchange. These laws and regulations are frequently costly to comply with and may\ndivert a significant portion of the Paralism Foundation\u2019s attention and\nresources or restrict the way the Paralism may operate. If we fail to comply\nwith these applicable laws or regulations, we could receive negative publicity\nand be subject to significant liabilities which could adversely impact the Site,\nServices, and the Paralism Network and Para Tokens. Additionally, Paralism node\noperators of the Paralism Network may be subject to industry specific laws and\nregulations or licensing requirements. If any of these parties fails to comply\nwith any of these licensing requirements or other applicable laws or\nregulations, or if such laws and regulations or licensing requirements become\nmore stringent or are otherwise expanded, the Paralism Network and\/or Para\nTokens could be adversely impacted.<\/p>\n\n\n\n Market Risks: Para Tokens are intended to\nbe used solely in connection with the Paralism Ecosystem, and we do not support\nor otherwise facilitate any secondary trading or external valuation of Para\nTokens. This restricts the contemplated avenues for using Para Tokens, and\ncould therefore create illiquidity risk to Para Tokens you hold. Even if\nsecondary trading of Para Tokens is facilitated by third party exchanges, such\nexchanges may be relatively new and subject to little or no regulatory\noversight, making them more susceptible to market-related risks. Furthermore,\nto the extent that third parties do ascribe an external exchange value to Para\nTokens (e.g., as denominated in a digital or fiat currency), such value may be\nextremely volatile and diminish to zero.<\/p>\n\n\n\n Specific Risks Relating to Value and\nFunction of Para Tokens: The utility benefits of using Para Tokens to access\nservices provided by Paralism node operators can only materialize through\nuser-driven adoption over time. Such adoption depends on a variety of factors,\nincluding the pace of user adoption, the organic community-driven expansion of\nthe Paralism Network. As such, the extent of user adoption is entirely outside\nof our control and cannot be stated with any certainty. The price of Para Tokens\nmay fluctuate in response to competitive and market conditions affecting the\ngeneral supply of and demand for user-requested services. These conditions are\nbeyond our control. The value of Para Tokens on the Paralism Network may be\nlower than the price at which it was purchased. The utility of Para Tokens, and\nany value associated with that utility, will depend on the ability of the Paralism\nNetwork to adequately facilitate user-requested services. Inadequate supply may\nresult in such services taking more time, while inadequate demand may make it\ndifficult to obtain services, both of which may discourage participation in the\nParalism Network. The compensation for providing Paralism node services in the Paralism\nNetwork will depend on the resale price for the Para Tokens received for such\nservices, which may be lower than the compensation that might have been\nreceived through other arrangements. No promises of future performance or value\nare or will be made with respect to Para Token, including no promise of inherent\nvalue, no promise of continuing payments, and no guarantee that Para Token will\nhold any particular value.<\/p>\n\n\n\n Unanticipated Risks: Cryptographic tokens\nsuch as Para Tokens are a new and untested technology. In addition to the risks\nincluded in these Terms, there are other risks associated with the Services,\nthe Paralism Network and Para Tokens, including those that the Paralism\nFoundation cannot anticipate. Such risks may further materialize as\nunanticipated variations or combinations of the risks discussed in these Terms.<\/p>\n\n\n\n Any right or remedy of the Paralism\nFoundation set forth in these Terms is in addition to, and not in lieu of, any\nother right or remedy whether described in these Terms, under Applicable Law,\nat law or in equity. Our failure or delay in exercising any right, power, or\nprivilege under these Terms will not operate as a waiver thereof. The\ninvalidity or unenforceability of any of these Terms will not affect the\nvalidity or enforceability of any other of these Terms, all of which will\nremain in full force and effect. We will have no responsibility or liability\nfor any failure or delay in performance of the Site or any of the Services, or\nany loss or damage that you may incur, due to any circumstance or event beyond\nour control, including without limitation any flood, extraordinary weather\nconditions, earthquake, or other act of God, fire, war, insurrection, riot,\nlabor dispute, accident, action of government, communications, power failure,\nor equipment or software malfunction.
